1. Introduction
Welcome to Cordial Consulting (“Cordial”, “we”, “our”, “us”).
These Terms and Conditions (“Terms”) govern your use of the website https://www.socordial.com and any purchase or use of our services.
By using our Website or ordering any service, you agree to these Terms. If you do not agree, please do not use our Website or services.
2. About us and Contact
Cordial Consulting provides tax, administrative, and business setup support in Portugal, specialising in freelancers (ENI / Recibos Verdes) and corporate clients.

Company details (address and NIPC) appear on invoices and legal notices.
3. Scope of Services
Cordial provides consultative and administrative assistance.
We are not a government body and do not act as legal representatives before authorities unless explicitly stated.
When certified accounting services are required, they are performed by a duly licensed accountant (Contabilista Certificada).
4. How our Services Work
You can either book a specific service directly through our Website or, if you are not sure which option fits your situation, schedule a free 15-minute discovery call to clarify your needs before purchasing.
Booking or Intake: Once you submit a booking or request, we confirm the service scope, price, required documents, and estimated timeline.
Start: Work begins after we receive full payment and all necessary documents.
Processing times: Timelines depend on your responsiveness and external entities (Finanças, Segurança Social, banks, registries). We cannot guarantee their response times or decisions.
5. Prices, Taxes, and Invoices
Service fees are published on our Website or in written quotations.
Government, bank, or notary fees are separate unless expressly stated.
If VAT applies, it will be added to your invoice. A Portuguese invoice is issued after payment.
6. Client Responsibilities
You agree to:
provide accurate, complete, and timely information;
update us about any changes;
use services only for lawful purposes;
attend appointments or sign powers of attorney (PoA) when required;
where credentials are shared (Finanças, Segurança Social Direta, bank portals), authorise us to use them only for the agreed task, and understand they are deleted immediately after use.
We recommend changing passwords after each service.
Incomplete or inaccurate information may cause delays or extra work at additional cost.
7. What Is / Is Not Included
Each service description specifies its deliverables, timeline, prerequisites, and exclusions.
Unless stated otherwise, prices exclude government fees, bank fees, courier or notary costs, translations, historical bookkeeping cleanup, complex capital-gains/crypto cases, corporate filings, payroll, litigation, or on-site representation.
8. Power of Attorney (PoA) & Fiscal Representation (FR)
Some services (e.g., NIF, NISS, bank account opening) may require PoA or fiscal representation.
We explain when this applies, provide templates, and use PoA solely for the authorised acts.
Fiscal representation may be temporary; ongoing FR is not included unless explicitly contracted.
9. Credentials & Security
When portal credentials are shared, Cordial limits access to the assigned consultant, uses them only for the approved task, and deletes them afterwards.
You should change your password immediately after completion.

10. Specific Service Terms (Summary)
Fees: Current fees are shown on the Website or in a written quotation. Government/bank/notary fees are separate unless expressly included.

C) Additional Services
Business-plan consulting (single or 3-pack) • Marketing-plan consulting (single or 3-pack) • Funding options assessment (for hiring or growth).
11. Cancellations, Rescheduling, and Refunds
Rescheduling: Please give at least 24 hours’ notice.
Cancellation before start: Refund minus payment-processing fees.
After start: Once work has begun (submissions, drafting, or authority contact), fees are non-refundable except for proven technical error or statutory rights.
No-show: Missed calls without notice may be treated as completed.
12. Right of Withdrawal (EU Consumers)
You may withdraw within 14 days of purchase if the service has not yet started.
If you request work to begin during this period, you consent to losing the right of withdrawal once the service is fully performed and to paying for work completed up to withdrawal.
13. No Guarantees (Approvals or Timelines)
Cordial guarantees diligent work but cannot guarantee decisions or processing times of external entities.
We are not liable for delays, rejections, or penalties caused by third parties or inaccurate client data.
14. Intellectual Property
All Website content, templates, and materials are owned by Cordial Consulting (or its licensors).
Deliverables are for personal or internal business use only; redistribution or resale is prohibited.
15. Confidentiality, Data Protection, and KYC/AML
All information provided by clients is confidential.
We process data under GDPR and Portuguese Law No. 58/2019 (see Privacy Policy).
Identity or compliance checks may be required; we may refuse service if legal standards are unmet.
16. Subcontractors
We may use trusted subcontractors (accountants, translators, etc.) bound by confidentiality and data-processing agreements. Cordial remains responsible for overall quality.
17. Limitation of Liability
Our total liability is limited to the amount paid for the service.
We are not liable for indirect or consequential losses.
18. Force Majeure
We are not responsible for delays or failures due to causes beyond our control (e.g., system outages, strikes, natural disasters, regulatory changes).
19. Governing Law and Jurisdiction
These Terms are governed by Portuguese law.
Disputes fall under the courts of Lisbon, without prejudice to mandatory consumer rights.
Clients may also use an Alternative Dispute Resolution (RAL) entity upon request.
20. Changes to These Terms
We may update these Terms to reflect service or legal changes. The latest version is always published on the Website and applies immediately upon posting.
